Overview
This 2 hour session is aimed at directors, providing an essential understanding of the key legal obligations of a director, the general duties a director has to comply with and the consequences of failing to do so.
The session will cover key topics including:
- A director’s role in the company
- General duties under the Companies Act 2006 and the practical implications of the legislation
- Managing conflicts of interest
- Duties under the company’s articles
- The consequences of non-compliance
- Potential relief from liability
- Director’s personal liabilities
- Good boardroom practice
You will gain a good grounding in the important role a director plays in a business, the difference between executive and non-executive directors, the tasks they must undertake, how to comply with those obligations in practice to protect both the individual and the business and the consequences of getting it wrong.
